1. Agreement to Terms

By accessing and using BenixSpace ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms, please do not use the Service.

2. Accounts and Registration

When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. User Roles

BenixSpace offers different user roles with specific functionalities:

• Affiliates: Users who share links and products to earn commissions
• Merchants: Users who create and list products or links to be shared by affiliates
• Administrators: BenixSpace staff who manage the platform

4. Affiliate Terms

As an Affiliate user of BenixSpace, you agree to:

• Share links and products honestly and transparently
• Not engage in spamming, misleading advertising, or fraudulent activities
• Not artificially inflate clicks or conversions through automated means or deception
• Not misrepresent the products or services being promoted
• Comply with all applicable laws and regulations regarding marketing, advertising, and promotion
• Disclose your affiliate relationship with BenixSpace when required by law
• Not engage in activities that could damage the reputation of BenixSpace or our merchants

5. Merchant Terms

As a Merchant user of BenixSpace, you agree to:

• Provide accurate and truthful information about your products or services
• Fulfill all obligations to customers who purchase through affiliate links
• Pay all applicable commissions to affiliates as agreed through the platform
• Maintain sufficient funds in your account to cover commission payments
• Not list products or services that violate our prohibited content policies
• Comply with all applicable consumer protection laws and regulations
• Respond promptly to customer inquiries and complaints

6. Commission Structure

Commission rates and payment terms are set by merchants within the parameters allowed by BenixSpace. The specific commission structure for each product or link will be displayed within the platform. BenixSpace reserves the right to:

• Hold commissions for a reasonable verification period to prevent fraud
• Withhold commissions for transactions deemed fraudulent or in violation of these Terms
• Charge service fees as disclosed in the platform
• Modify minimum payout thresholds with reasonable notice

7. Prohibited Content and Activities

The following content and activities are strictly prohibited on BenixSpace:

• Illegal products or services
• Counterfeit or unauthorized products
• Adult content, pornography, or sexually explicit material
• Weapons, ammunition, or explosives
• Drugs, controlled substances, or drug paraphernalia
• Content that promotes hate speech, discrimination, or violence
• Content that infringes on intellectual property rights
• Malware, spyware, or other harmful software
• Pyramid schemes, multi-level marketing, or get-rich-quick schemes
• Fraudulent products, services, or business opportunities

8. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of NebeluRw and its licensors. The Service is protected by copyright, trademark, and other laws of both Rwanda and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of NebeluRw.

9. Limitation of Liability

In no event shall BenixSpace, NebeluRw, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

11. Dispute Resolution

Any disputes arising out of or related to these Terms or the Service shall be governed by the laws of Rwanda, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Kigali, Rwanda.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
